Submission of the above information confirms your interest in participating as a Content Creator for DMV Digest, LLC (“DMV” or “we”, “our” or “us”) as such it is simply an indication of your desire to perform services and/or create content (“Content”) for us and not an employment application. Note that we may accept or reject you as a Content Creator in our sole discretion, for any reason or for no reason. Upon acceptance as a Content Creator, you and DMV each agree that your relationship with us will be solely that of an independent contractor for all purposes and further expressly agree that you are not an employee, agent, partner, or co-venturer of DMV. You will have no right or authority to act on behalf of DMV or to bind DMV to any contract or other legally binding obligation. You will not make any representation about DMV to any customer, contractor or other person in any form without our prior written consent. You will not receive or be eligible to receive or participate in any employee benefits, retirement, profit sharing, or pension plans; incentive or bonus compensation plans; severance pay; or vacation, sick or disability leave, or any other paid time off. As an independent contractor, you are solely responsible for complying with all obligations under federal, state, and local law, including but not limited to income, employment, and taxation. DMV will issue you an IRS Form 1099 for each calendar year in which you are paid Content Fees. From time to time we may post requests for certain types of content (a “DMV Content Request”), which any of our Content Creators may accept or decline within the specified timeframe on a first come, first served basis. In addition, you may propose content to us by emailing your suggested content to our designated point of contact with specific elements as required for such a proposal as specified in the content creation guidelines (a “Creator Proposal”). Each Creator Proposal is subject to our independent review and approval and we reserve the right to accept, reject or modify each Creator Proposal for any reason, or no reason at all. DMV Content Requests together with any Creator Proposals we accept are collectively referred to as “Content Requests.” Each Content Request will include specific criteria as well as a specific fee (the “Content Fee”) to be paid to the Content Creator for Content that is accepted and published by DMV. Upon the acceptance of a Content Request, you agree to create written articles, videos or other content according to the content creation guidelines for the DMV Direct Platform and the Content Request. Other than the specifications detailed in the Content Request, we have no authority to control your methods of performance or work hours. DMV will have no obligation to pay or otherwise compensate you for your content unless it is published on the DMV Direct Platform. In the event the Content is ultimately accepted and published, you will be paid a Content Fee as outlined in the Content Request.
By submitting this Content, you (the “Content Creator”) represents and warrants that: All Content is your original work and has not previously been published in any form prior to your submission of such Content to DMV, and you have all the intellectual property rights necessary to validly assign to DMV all rights, title, and interest in and to the Content as contemplated below under IP Grant/License. The Content does not and will not: (i) infringe upon, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intel- lectual property or proprietary rights (ii) contain any unlawful, threatening, abusive, false, libelous, defamatory, obscene, pornographic, profane, hateful, racially or ethnically offensive, or otherwise infringing or objection- able content or material of any kind; (iii) encourage conduct that would be considered a criminal offense, give rise to civil liability, or violate any law; or (iv) contain any advertisements or solicitations of business. Your submission of Content to us for publication will not violate or breach any confidentiality agreement or other agreement to which you are a party, any duty (fiduciary or otherwise) you have to any person or entity, or violate any law, rule, or regulation. You also acknowledge that you will not be paid a Content Fee unless the Content: (i) was submitted pursuant to a properly accepted Content Request, as defined above; (ii) meets all of the criteria specified in the Content Re- quest; and (iii) is approved for publication on the DMV Direct Platform, such approval to be granted at DMV’s sole discretion. IP Grant/License DMV Digest, LLC (“DMV” or “we”, “our” or “us”) operates the DMV Direct platform, including our website and social media pages (the “Platform”). This Exclusive Content License Agreement (“Agreement”) describes the agreement between you and us with respect to any content or materials, including but not limited to, writ- ings, photographs, and videos, (collectively, the “Content”), submitted to, and accepted by, DMV for use on the Platform. Upon our acceptance of your submitted Content, and in consideration of any Content Fees paid, you automat- ically grant us the world-wide, perpetual, irrevocable, sub-licensable and transferable, royalty-free, exclusive right and license to use, copy, reproduce, publish, distribute, license to others, perform, enforce, edit, modify, prepare derivative works of, and otherwise exploit the Content, or portions thereof, in any and all media, for- mats and channels, including on our Platform. We do not guarantee that any of the Content will ultimately be utilized on the Platform, nor do we guarantee that you will be identified or credited as the creator of the Con- tent; however, to the extent Content is utilized on the Platform, you may identify yourself as the creator of the Content per the standards specified in the content creation guidelines. We reserve the right to, but do not have any obligation to, remove, edit, modify or otherwise manipulate the Content in our sole discretion, at any time, without notice to you and for any reason. The rights granted by you to us are exclusive which means that after entering this license, you will have no right to grant rights in the Content to any other third party, nor will you retain any right to distribute the Content through your own digital or online channels (including your own social media accounts). You are prohibited from submitting to the Platform any content that: (i) was taken from a third party, or includes a third party’s trademarks, content or material, or otherwise infringes upon a third party’s intellectual property rights of any kind; or (ii) you have previously sold to or exclusively licensed to another party.
